TERMS AND CONDITIONS

  1. TOLERANCES
    1. All services shall be furnished in accordance with normal industry standards. The possible tolerance of one of the parties for the behaviour of the other constituting violation of the provisions of this quote does not constitute waiver of the rights arising from the violated provisions or of the right to require exact performance of all terms and all the conditions set forth therein.
  2. PAYMENTS
    1. Nandhi Solutions Pty Ltd fees are billed at an all-inclusive hourly rate/half a day or full day based on the time required to conduct the relevant service.
  3. GENERAL
    1. The quotation is valid for thirty days from the stipulated date.
    2. Any work outside of the normal working hours will be charged at standard rates [Sunday’s & Public holidays x 2.0 and Saturdays x 1.5].
    3. The client/customer can confirm written acceptance of the quote with an official purchase order.
    4. Invoice/s submitted for work performed by Nandhi Solutions Pty Ltd are payable on presentation and thereafter non-negotiable.
    5. All quotes for contracts review’s, revisions and/or admin work are payable upon presentation of the Tax Invoices and thereafter non-negotiable.
    6. All fees quoted exclude Value Added Tax unless clearly stipulated otherwise.
    7. Where services are delivered outside of South Africa; all taxes applied in the country of delivery shall be for the client/customer’s account.
    8. All medical costs associated with inoculations shall be for the client/customer’s account.
    9. All insurance required for staff, including professional indemnity and public liability shall be for the client/customer’s account.
    10. Travel time outside of South Africa, unless clearly covered by the proposed service fee, shall be charged at the full advisory rate.
    11. Couriering of material outside of South Africa shall be client/customer’s account.
    12. Quotations include travel and subsistence costs unless otherwise stated or discussed with clients/customers.
    13. Air travel will be in economy class within the Republic of South Africa.
    14. Should a vehicle be rented to conduct the supply of services to the client/customer the cost will be allocated to the client/customer including the kilometers’ travelled.
    15. The client will provide an appropriate standard of accommodation/customer for Nandhi Solutions Pty Ltd staff.
    16. Time spent in travelling within South Africa, unless clearly covered by the proposed service fee, shall be charged at half of the prorated advisory rate up to a total of three hours per trip.
    17. Should travel time exceed four hours per trip, the rate for a full day is applicable.
    18. On acceptance of this quote, the client/customer agrees not to employ any of the staff or representatives of Nandhi Solutions Pty Ltd, in their private or any other capacity outside of the direct employment of Nandhi Solutions Pty Ltd.
    19. This will be for a period of 24 months from the date of completing the project or any part thereof.
    20. All dealings or financial interactions shall be with the management of Nandhi Solutions Pty Ltd or their appointed representatives.

    22. Staff representing Nandhi Solutions Pty Ltd shall adhere to security, safety, insurance, and other aspects or general legislative regulations on a client’s/customer’s site. The client/customer shall ensure that induction training is provided and appropriate access clearance, permits, and personal protective equipment (PPE) is issued without delay.     23. The client/customer shall comply with performance of assessment/programme elements under their control to ensure that the project schedule is maintained.
    24. Amendments or additions to the stated scope of work shall be mutually agreed and confirmed in writing, with stated financial implications.
    25. The client/customer is liable for all costs incurred where confirmed orders are cancelled or where confirmed delivery dates are postponed within a five working day period from the date of service commencement and includes the loss of fees at the full quoted rate.
    26. This Agreement shall be governed, construed, and completed solely in accordance with the Laws of the Republic of South Africa.
    27. Any dispute arising out of or in connection with the interpretation of; the effect of; the implementation of; the Parties’ Respective rights and obligations under; a breach of; any matter arising out of or in connection with, or the rectification of this Agreement and which has not been resolved as provided for elsewhere in this Agreement, shall be decided by arbitration in the manner set out in this clause.
    28. Such arbitration shall be held subject to the provisions of this clause: at a location convenient to all affected parties informally on such rules as to procedure set by the arbitrator but otherwise in accordance with the provisions of the Arbitration Act No.42 of 1965, as amended, and confidentially; it being the intention that, if possible, the arbitration shall be held and concluded within 21 business days after it has been demanded.
    29. Such arbitration shall be held subject to the provisions of this clause: at a location convenient to all affected parties informally on such rules as to procedure set by the arbitrator but otherwise in accordance with the provisions of the Arbitration Act No.42 of 1965, as amended, and confidentially; it being the intention that, if possible, the arbitration shall be held and concluded within 21 business days after it has been demanded.
      • If the parties cannot agree upon an arbitrator, the President for the time being of the Gauteng Law Society, shall be approached by either party to decide upon the appointment of a suitable arbitrator, bearing in mind the nature of the dispute, which decision shall be final and binding upon the parties.
      • The parties irrevocably agree that any decision in such arbitration proceedings: a. shall be binding on them; b) shall be carried into effect; c) may be made an order of any court of competent jurisdic on; d) shall include such order as to costs as the arbitrator deem fit.
      • Nandhi Solutions Pty Ltd institutes any legal proceedings against the client to enforce any of its rights under this agreement it shall be entitled to recover from the client/customer all the legal costs it incurs to its own attorneys in accordance with their then usual charges and assessed as between attorney and own client.
      • The quota on excludes the purchase of applicable legislation where such legislation is required in the course of conducting the services.
  4. TRAINING
    1. Course material supplied for the purpose of people’s development is subject to copyright.
    2. Content may not be extracted, reproduced, or re-sold without prior written consent from Nandhi Solutions Pty Ltd.
    3. For training reservations Nandhi Solutions Pty Ltd booking form shall be completed via the website for on-site or virtual training.
    4. Clients are required to supply a suitable venue for all In-House training courses (flipchart, pens, and a projector).
    5. Course registration is subject to space being available for the relevant course.
    6. Positions shall be confirmed in writing and delegates should not assume automatic admission to the course unless confirmation is received.
    7. Training course reservations must be confirmed two weeks before any course starts in order to secure the date.
    8. Reserved training courses, for in-company/in-house training and group webinars, that are postponed by the client/customer shall be subject to a fee equal to 30% of course and will be payable on invoice.
    9. Should travel costs exceed 20% of course fees, the greater amount will be charged.
    10. Reserved training courses, for in-company/in-house training or group webinars, that are cancelled by the client/customer shall be subject to a fee equal to 50% of the course will be payable on invoice presentation.
    11. Postponements of confirmed bookings and training courses, for any reason including load shedding, are subject to a 50% postponement fee and will be payable on presentation of the invoice.

    13. Cancellations of confirmed bookings on offered training courses, for any reason including load shedding, are subject to a 75% cancellation fee.
    14. Nandhi Solutions Pty Ltd reserves the right to postpone training courses subject to delegate notification. Should a course be postponed for particular reason/s, delegates with confirmed admission shall be moved to an alternative date.
    15. Delegate results and certificates shall not be released until full payment is received.
    16. Delegates that are declared “not yet competent” can re-take the written assessment depending on the course requirements which the organizer will advise on.
    17. An administration fee shall be payable for re-assessment and moderation.
    18. The client/customer is liable for refreshments and lunch as per course plan or as agreed with at the start of the working day for on-site training and workshops.
    19. For reserved on-site training, clients will be liable for full payment should their selected candidates not attend confirmed training.
  5. ADVISORY/CONSULTING SERVICES
    1. Fees do not include printing and courier charges applicable for generation and submission of related documentation such as reports, registers, policies, and procedures.
    2. Should personnel representing Nandhi Solutions Pty Ltd be delayed, due to the client/customer actions or inaction, time lost shall be charged at the full-prorated fee.
    3. In such events where the project exceeds the targeted completion date, an escalated fee equal to 10% of the quoted rate shall be applied to all fees applicable to work performed after such completion date.
    4. While time allocated by staff representing Nandhi Solutions Pty Ltd may be fully allocated to working with a client in the documentation review with the permission of the client/customer, may be performed at an off-site location chosen by Nandhi Solutions Pty Ltd. at no extra charge.
    5. Where audit services are required, the client/customer agrees to ensure the relevant staff are available for scheduled interviews and confirm availability of the staff five working days in advance.
    6. The timeous performance of all services described in this proposal is subject to the co-operation, collaboration, and commitment of client/customer management and staff. If suitable, where these aspects appear to be lacking, the facts will be presented to the client representative for remedial action. Similarly, should staff representing Nandhi Solutions Pty Ltd be assigned to work with the client who fails to deliver their services in a professional manner, the facts will be submitted to Nandhi Solutions Pty Ltd. for remedial action.
    7. Although, personnel representing Nandhi Solutions Pty Ltd will exercise care, skill and diligence in the advice provided and documentation, staff shall not be liable for any loss or damage caused by or arising out of circumstances over which Nandhi Solutions Pty Ltd has no control, such as the incorrect use or misinterpretation of advice or documentation.
    8. Advice and the documentation content provided is based on information understood to be dependable and accurate. Where information is withheld by a client/customer or information provided by the client is incorrect, Nandhi Solutions Pty Ltd shall not be liable for any loss or damage caused by or arising out of such circumstance.
  6. SIGNAGE
    1. The quotation is valid for thirty days from the stipulated date.
    2. Any work outside of the normal working hours will be charged at standard rates [Sunday’s & Public holidays x 2.0 and Saturdays x 1.5].
    3. The client will be required to advise suitable days to clean the quoted areas based on Production and manufacture plans.
    4. The client/customer can confirm written acceptance of the quote with an official purchase order.
    5. Invoice/s submitted for work performed by Nandhi Solutions Pty Ltd are payable on presentation and thereafter non-negotiable.
    6. All fees quoted exclude Value Added Tax unless clearly stipulated otherwise.
    7. Quotes will include kilometer’s, labour & installation handling fees, daily or half day rates and any other costs depending on the work required.
  7. CLEANING & HYGIENE SERVICES
    1. The quotation is valid for thirty days from the stipulated date.
    2. Any work outside of the normal working hours will be charged at standard rates [Sunday’s & Public holidays x 2.0 and Saturdays x 1.5].
    3. The client will be required to advise suitable days to clean the quoted areas based on Production and manufacture plans.
    4. The client/customer can confirm written acceptance of the quote with an official purchase order.
    5. Invoice/s submitted for work performed by Nandhi Solutions Pty Ltd are payable on presentation and thereafter non-negotiable.
    6. All fees quoted exclude Value Added Tax unless clearly stipulated otherwise.
    7. Quotes will include kilometer’s, labour & installation handling fees, daily or half day rates and any other costs depending on the work required.
  8. BIRD NETTING
    1. The quotation is valid for thirty days from the stipulated date.
    2. Any work outside of the normal working hours will be charged at standard rates. [Sunday’s & Public holidays x 2.0 and Saturdays x 1.5].
    3. The client must provide exact measurements (length & width of area where netting is to be installed, any cameras in the area, including pictures of the area including any other pertinent information regarding the area).
    4. The netting type quoted will differ based on the product manufactured which can impact the netting durability (example: if the product produced is corrosive, a more robust netting would be quoted).
    5. The client will be required to advise suitable days to install the netting the quoted areas based on Production and manufacture plans.
    6. The client/customer can confirm written acceptance of the quote with an official purchase order.
    7. Invoices submitted for work performed by Nandhi Solutions Pty Ltd are payable on presentation and thereafter non-negotiable.
    8. All fees quoted exclude Value Added Tax unless clearly stipulated otherwise.
    9. Quotes will include kilometer’s, labour & installation handling fees, daily or half day rates and any other costs depending on the work required.
  9. CANCELLATIONS
    1. Any cancellation which is not formally confirmed in writing and received by Client/Customer within 10 days of such instruction being issued, will be liable for the full quoted project cost.
